Acceptance of these terms

These Terms of Service govern your use of rawstocksllc.com, the Rawstocks Discord server, and any alerts, research, tools, sessions or other materials provided by Rawstocks LLC ("Rawstocks", "we", "us"). By accessing the site or subscribing, you agree to these terms and to our Risk Disclosure, Privacy Policy and Refund Policy, each incorporated here by reference.

If you do not agree, do not use the service.

Eligibility

You must be at least 18 years old and legally capable of entering a binding contract to use Rawstocks. By subscribing you represent that you meet these requirements.

You are responsible for ensuring your use of the service complies with the laws and regulations applicable in your jurisdiction. We do not represent that our services are appropriate or legally available in every location. We may restrict or discontinue access in any jurisdiction where we determine that providing the service may be unlawful, restricted, or subject to regulatory requirements we have not undertaken.

What Rawstocks provides

Rawstocks provides trading education, market analysis, research, trading tools and community access. Depending on the membership level or service selected, offerings may include:

• Trade alerts and market commentary describing positions, setups, or analysis from desk members
• Written research, educational materials, and live or recorded educational sessions
• Access to Rawstocks-developed tools and strategies, including products such as QuantViper and FlashPoint where included with the applicable membership
• Access to third-party or member-developed tools, resources, or integrations where made available as a membership benefit
• Access to members-only community features, including Discord

Rawstocks is not a registered investment adviser, broker-dealer, or financial planner. Nothing we provide constitutes personalized investment advice or a recommendation to buy or sell any security. We do not manage money, hold customer funds, or execute trades on your behalf. See the full Risk Disclosure.

We may modify, suspend, or discontinue any part of the service at any time. Where a change materially reduces what a paid subscription provides, we will give reasonable notice.

Accounts and conduct

You are responsible for maintaining the security of your account and Discord credentials, and for all activity occurring under them. Notify us promptly at [email protected] if you suspect unauthorized use.

While using the service you agree not to:

• Share, resell, republish, stream or redistribute alerts, research, session recordings or tools to anyone outside your subscription
• Share account or Discord access with another person
• Scrape, mirror, or use automated means to extract content
• Present yourself as affiliated with, employed by, or speaking for Rawstocks
• Offer investment advice to other members, solicit them for other services, or promote competing products
• Harass, abuse, threaten or discriminate against other members or staff
• Use the service for any unlawful purpose, including market manipulation or trading on material non-public information

We may suspend or terminate access for violations, at our discretion and without refund where the violation is material.

Subscriptions and billing

Subscriptions are offered on monthly and annual terms at the prices shown on our pricing page.

Rawstocks LLC is the seller of record. Subscriptions are sold by us directly. Whop provides the billing and access-management platform, and card payments are processed by Stripe. Your use of those platforms is also subject to their respective terms. Because we are the seller, any question about your subscription, billing or access should come to us first at [email protected].

Key terms:

• Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled.
• Trial. A seven-day introductory period is available for $7. Unless cancelled before the trial ends, the subscription converts to the standard monthly rate.
• Cancellation. Cancel at any time through your Whop account. Access continues to the end of the paid period. See the Refund Policy.
• Price changes. We may change prices with at least 30 days' notice before they apply to your renewal. Annual subscribers keep their rate for the paid term.
• We do not store payment card details. Card data is handled entirely by Stripe. We receive only transaction confirmations and subscription status.
• Taxes. Prices are exclusive of any sales, use, VAT or similar taxes. Where we are required to collect such taxes, they will be added at checkout.

Intellectual property

Content created and owned by Rawstocks — including Rawstocks alerts, written research, session recordings, trade records, site design, copy, and Rawstocks-developed tools, software, indicators, strategies, or other materials — is owned by Rawstocks LLC or its licensors and is protected by applicable intellectual property law.

Some services may include or provide access to tools, content, data, software, or other materials created or owned by third parties, community members, or independent developers. Those materials remain subject to the rights and terms of their respective owners. Their availability through Rawstocks does not transfer ownership to Rawstocks or to you.

Your subscription grants a limited, personal, non-exclusive, non-transferable, revocable licence to access and use Rawstocks content made available to you for your own trading and educational purposes. It does not transfer ownership of that content.

You may not reproduce, distribute, publicly display, create derivative works from, resell, or commercially exploit Rawstocks-owned content without written permission. This includes reposting alerts to other Discord servers, group chats, or social media in a form that substitutes for a subscription.

Content you post in the community remains yours, but you grant us a non-exclusive, royalty-free licence to display, store and distribute it as reasonably necessary to operate the service.

Third-party services

The service depends on third parties including Discord, Whop, and market data providers. We do not control them and are not responsible for their availability, accuracy, conduct, or terms. Interruption or termination of a third-party service may interrupt or terminate parts of ours.

Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

We do not warrant that the service will be uninterrupted, timely, secure or error-free, that alerts will be delivered without delay, or that any information provided is accurate, complete or current. Market data and gamma exposure figures are estimates derived from models and may be wrong.

We make no representation or warranty regarding trading results. Past performance does not indicate future results. You are solely responsible for your trading decisions and their outcomes.

Limitation of liability

To the maximum extent permitted by law, Rawstocks LLC and its owners, members, employees and contributors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading losses, lost revenue, lost data, or lost opportunity, arising out of or relating to your use of the service — whether based in contract, tort, negligence, strict liability or otherwise, and whether or not we were advised of the possibility.

Our total aggregate liability for any claim relating to the service will not exceed the amount you paid to Rawstocks in the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Rawstocks LLC and its owners, members, employees and contributors from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your use of the service, your trading activity, your violation of these terms, or your violation of any law or third-party right.

Termination

You may cancel at any time through Whop. We may suspend or terminate your access immediately, without notice, for material breach of these terms, abusive conduct, or unlawful activity.

On termination your licence to our content ends and you must stop using it. Sections covering intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution survive termination.

Governing law and disputes

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Subject to applicable law and any jurisdiction or venue requirements that cannot legally be waived, any legal action or proceeding arising out of or relating to these Terms or the service will be brought in a court of competent jurisdiction in Oregon, and you consent to the jurisdiction of those courts.

Any claim must be brought within one year of the event giving rise to it, to the extent such a contractual limitation period is permitted by applicable law.

Changes to these terms

We may update these terms. Material changes will be announced in the Discord and reflected in the "last updated" date above. Continued use after changes take effect constitutes acceptance. If you do not accept a change, cancel before your next renewal.
